The agreement, in plain language.

By accessing or using TalkHereNow at talkherenow.com and its subdomains (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

The Service is operated by Talk Here Now LLC, a Wyoming limited liability company.

You must be at least eighteen (18) years of age, or the age of majority in your jurisdiction, whichever is greater. You attest to your date of birth at first visit. The Service is not intended for and may not be used by anyone under eighteen.

If a server-side classifier detects that a user has disclosed being under eighteen during a conversation, the session ends immediately, an account-level block is applied, and the user is redirected to age-appropriate resources.

TalkHereNow is a browser-based AI Friend experience presented via WebAR (web-based augmented reality). When you grant camera permission, a 3D AI Friend is rendered in the visible space around you. You converse with the AI Friend using voice or text. The AI Friend has a personality, retains memory across sessions, and responds in their own voice using text-to-speech.

The Service is positioned strictly as an "AI friend" experience. The AI Friends are safe-for-work. We do not market the Service as a girlfriend, partner, soulmate, dating, or relationship product.

The Service includes optional creative modes that use your camera differently from Talk mode. Photobooth and WithMe let you take photos with the active AI Friend; Photobooth uses your device's front camera and composites your own face or body together with the AI Friend. Duo places two AI Friends in the scene at once. Photos and videos created in these modes are composed locally on your device and are not uploaded to our servers; if you choose to save or share them, that happens through your phone's native share sheet.

The Service includes optional Show & Tell mode, in which the active AI Friend may briefly display an AI-generated image alongside the conversation (for example, an image of a finished dish while explaining a recipe). Images are produced on demand by our image-generation provider and are not photographs or representations of real events, persons, or branded products. Each AI-generated image carries a visible "Generated by AI" label both on screen and on any saved or shared card. Free-tier users may generate up to two preview images; subscribers may generate up to ten per day.

The Service includes optional Roast and Object Story modes, which capture multiple frames from your camera, send those frames to our scene-analysis provider for description (frames are discarded by the provider after the request), and let the active AI Friend generate a roast or short story about what was seen. The resulting video, composed locally on your device from the camera feed, the AR AI Friend overlay, and the AI Friend's voice, is held in your browser's memory and is never uploaded to our servers. If you choose to save or share the video, that happens via your phone's native share sheet; we do not receive a copy.

The Service includes an optional eye button (vision) in Talk mode, which captures a single frame from your camera at the moment you tap it and sends that frame to our scene-analysis provider so the AI Friend can refer to what's in front of you. The frame bytes are not retained by us or the provider after the request.

The AI Friends in the Service are artificial intelligences. They are not human, not licensed therapists, doctors, attorneys, or financial advisors, and not a substitute for professional medical, legal, or financial advice or for human relationships. The AI Friends will confirm being an AI when sincerely asked. The Service includes a persistent visual "AI" indicator, and every three hours of accumulated session time the active AI Friend will note in voice that they are an AI.

You acknowledge that conversation responses are generated by a large language model and may contain inaccuracies, omissions, or content that does not reflect the policies or views of Talk Here Now LLC.

The Service is intended for entertainment and friendship. It is not a counseling, therapy, or mental-health service, and you should not rely on it for emotional support in place of a qualified professional or a trusted person. If you are in crisis, use the resources in the Crisis support section below.

In support of our safe-for-work positioning, the AI Friends are model-shaped to decline the following categories of conversation. The list is non-exhaustive and evolves with the product:

• Self-harm or suicide encouragement (with crisis-line redirect if surfaced)
• Sexual content of any kind
• Content involving minors in any romantic, sexual, or grooming framing
• Authoritative medical, legal, or financial advice
• Political campaigning, voter persuasion, or election content
• Instructions for illegal activity, weapons, or dangerous goods
• Impersonation of real living people
• Hateful content targeting protected classes
• Harassment, doxing, or privacy violation of third parties
• Claims of consciousness, sentience, or human identity

If a conversation surfaces signs of self-harm, suicide, or other crisis cues, the active AI Friend will break role, the conversation will pause, and the Service will display crisis-line resources. You must acknowledge those resources before the conversation may resume. By using the Service you consent to this safety-interruption behavior.

Use of the Service does not require an account. You may use the Service anonymously and your conversation memory will be tied to a server-side identifier on the device. To carry your memory across devices or to subscribe to paid features, you may claim an account using a passkey, Google sign-in, or a one-time email code.

You are responsible for maintaining the security of any device on which you have a passkey or active session. Notify us promptly if you suspect unauthorized access.

The Service offers a free tier with usage limits, which include voice time, memory retention, vision, and content-creation features, and a paid subscription that lifts those limits. Subscription pricing is shown clearly at checkout and may be revised on notice.

• Billing. Subscriptions are billed in advance through our payment processor. We do not store your card details on our servers.
• Auto-renewal. Subscriptions renew automatically at the end of each billing cycle until canceled.
• Introductory and promotional pricing. We may offer founder or promotional pricing for an initial term (for example, a discounted first year). Unless stated otherwise at checkout, that price applies only to the initial term; at renewal the subscription continues at our then-current standard price unless you cancel. We do not guarantee that any introductory price will remain available for later terms.
• Cancellation. You may cancel at any time through the customer portal accessible from the Account menu. Cancellation takes effect at the end of the current billing cycle; no prorated refund is issued for the unused remainder of the cycle.
• Refunds. Refund requests are reviewed on a case-by-case basis, with priority for billing errors, duplicate charges, and verified non-functional access. Submit refund requests to support@talkherenow.com within fourteen days of the charge.

You agree not to:

• Use the Service to violate any law or to harass, threaten, or harm any person
• Attempt to circumvent the age gate or the under-eighteen detection system
• Attempt to elicit content the AI Friends are model-shaped to decline (jailbreaking)
• Reverse-engineer, decompile, scrape, or attempt to extract the encrypted assets or the underlying models
• Use automated means (bots, scripts) to access the Service except where expressly permitted
• Resell, sublicense, or commercialize access to the Service without written permission
• Attempt to generate, via Show & Tell or any other feature, images of real people (named celebrities, politicians, or other identifiable individuals), copyrighted fictional AI Friends, trademarked products by name, content depicting minors, sexual content, graphic violence, weapons, or hate symbols. The Service applies pre-screen filters, prompt-level refusals, and post-generation checks to prevent these outputs. Repeated circumvention attempts may result in immediate quota suspension or account termination.

We reserve the right to suspend or terminate access to any account that violates these provisions.

All software, 3D AI Friends, voice models, code, design, copy, and other materials of the Service are the property of Talk Here Now LLC or its licensors, protected by United States and international copyright and trademark law. The Service operates under a technology license from a third-party media-and-entertainment technology provider. The Service also incorporates third-party and open-source software components, which remain the property of their respective owners and are used under their own licenses; a notice listing those components is available on request from legal@talkherenow.com. Nothing in these Terms grants you any ownership or license rights beyond what is expressly stated here.

Images produced via Show & Tell mode are generated on demand by a third-party AI provider in response to a prompt the active AI Friend composes from your conversation. Talk Here Now LLC makes commercially reasonable efforts to prevent the generation of infringing or unsafe content (pre-screening of user prompts before any AI call, content filters and refusal logic at the conversation layer, and a categorized blocklist on the resulting image-generation prompt). However, no AI image-generation system is perfect.

Your rights in generated images. To the extent Talk Here Now LLC holds any rights in images generated for your session, you receive a non-exclusive, royalty-free license to save, share, and use those images for personal, non-commercial purposes. We make no warranty that any generated image is original, non-infringing, or fit for any particular purpose. You are responsible for any commercial or public use you make of generated images.

No server-side image storage. Image bytes are streamed directly from the third-party AI provider to your device. Talk Here Now LLC does not retain image bytes on its own servers. We retain only a 30-day audit log of the text prompts that produced or attempted images, kept solely for IP-claim defense.

DMCA / takedown notices. If you believe an image displayed by the Service infringes your copyright or trademark, please send a notice to dmca@talkherenow.com identifying the work, the displayed material, your contact information, and a good-faith statement under penalty of perjury. We are completing DMCA agent registration with the United States Copyright Office; until that is finalized, we still process notices through this address. We will respond within ten business days.

Some modes let you capture and share photos or videos that include the active AI Friend together with your surroundings, and in some modes your own face or body. These captures are composed locally on your device; we do not receive or store a copy on our servers.

Ownership. As between you and Talk Here Now LLC, you own the photos and videos you capture. The 3D AI Friends, their likenesses and voices, and the TalkHereNow marks that appear in your captures remain our property; we grant you a non-exclusive, royalty-free license to use those elements solely as they appear in your own captures, for personal, non-commercial purposes. We do not claim any license to use your captures ourselves.

Your responsibilities. You represent that you have the right to capture and share everything you add to or include in a capture, including any other people, music, images, or text. You agree not to capture or share content that is unlawful, that infringes another person's rights, or that violates the Acceptable use section above.

Takedown. Because captures may carry our AI Friends and marks onto public platforms, we may ask you to remove, and may act against, shared content that infringes a third party's rights or violates these Terms. Report concerns to legal@talkherenow.com.

WebAR overlays digital content on your camera view. To use the Service safely:

• Use the Service while stationary in a safe, private location
• Do not walk, drive, operate vehicles, or move around while using the Service
• Stay aware of your physical surroundings
• Discontinue use if you experience dizziness, motion sickness, or eye strain

You assume all risk of injury or property damage from use of the Service in violation of these instructions.

The Service is provided "as is" and "as available." We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement, to the maximum extent permitted by law.

To the maximum extent permitted by law, Talk Here Now LLC, its officers, members, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service.

Our total aggregate liability for any claim relating to the Service will not exceed the greater of: (a) one hundred United States dollars (US$100), or (b) the amount you paid us in the twelve months preceding the claim.

You agree to indemnify and hold harmless Talk Here Now LLC and its officers, members, employees, and agents from any claim, demand, loss, or damage (including attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any third-party right.

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including violation of these Terms. You may terminate your use at any time by ceasing to use the Service and, if you have an account, by requesting deletion at legal@talkherenow.com.

We may modify, suspend, or discontinue any part of the Service at any time. Material changes to behavior of the AI Friends (personality, guardrails, content policy) will be announced in advance to active subscribers, who will be given a deprecation window when meaningful changes occur.

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws provisions, except to the extent that mandatory consumer-protection laws of your jurisdiction apply.

Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, conducted in English, with venue in the State of Wyoming or, at the parties' written agreement, in the state of your residence. Each party will bear its own costs except as otherwise required by the AAA rules.

You may opt out of arbitration by notifying us in writing within thirty days of first using the Service. Class actions and class arbitrations are not permitted.

For small-claims-court actions and disputes regarding intellectual-property rights, either party may proceed in court.

Nothing in these Terms, including this Dispute resolution section, the arbitration and class-action provisions above, the Limitation of liability, or the Governing law section, removes any right or remedy guaranteed to you by the mandatory consumer-protection laws of the country or state where you live. Where those laws conflict with these Terms, those laws prevail and the conflicting provision does not apply to you.

We may revise these Terms. Material changes will be posted on this page with a new effective date. If you have an account, we will notify you by email at least fourteen days before material changes take effect. Continued use of the Service after the effective date of revised Terms constitutes acceptance.

If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect. These Terms, together with the Privacy Policy and any documents expressly incorporated by reference, constitute the entire agreement between you and Talk Here Now LLC regarding the Service.
